Statement of Board Member Responsibilities
1. Attendance - Attendance at board meetings is the first step in keeping fully aware of all organizational policies and activities. According to our by-laws, failure to attend three consecutive meetings constitutes possible removal.
2. Participate Actively in Decision Making - Participate in discussions and votes, serve on committees, read agendas, read minutes and financial reports, and ask questions. Insist that meeting minutes accurately reflect matters discussed at meetings.
3. Participate in Fundraising - Fundraising is a major responsibility of the board to ensure future financial stability for the organization. All board members will be expected to participate in some manner in all fundraising events.
4. Be Familiar with Organizational Documents and Policies - One of the best ways to protect yourself and to actively participate while serving on a non-profit board is to be informed about the organization and be able to make informed decisions. All board members are expected to read and understand their board member notebook.
5. Review Financial Information - Evaluate and participate in the budget process. Monitor the budget on a regular basis including careful review of monthly financial reports and statements. Make sure that safeguards and internal financial controls are implemented.
6. Conduct Self-Evaluation - A major responsibility of the Board is to ensure that the board continues to function efficiently and effectively to meet the goals and mission of the organization. This can only be assured through periodic self-evaluations of the board.
7. Make a Personal Financial Commitment - Board members are expected to pledge an annual personal financial commitment to the organization. This may be through direct donation, memorial donations, or through financial support of a fundraising event. When soliciting financial support from external individuals and groups, it is critical that the board can demonstrate 100% support from its own members.
8. Avoid Conflicts of Interest - A director should avoid conflicts of interest. A conflict of interest may exist when one participates in the decision-making process on an issue for the organization while concurrently having other business, professional, or personal interests that could cause one to be biased or predisposed on the issue.
9. Maintain Confidentiality - A director must maintain in confidence the organization's confidential information including but not limited to clients and personnel. The obligation to maintain confidentiality continues indefinitely even after service to the board is complete.
